It is a novel work as it addresses the entire process of contracting innovation both by the private sector and by the public sector, as well as by the university world. All this means that from the point of view of its structure and systematics, this work has been divided into five parts. In this way, concepts such as innovation, creativity, digital transformation and leadership are addressed in the context of the fourth industrial revolution. The second part of the work analyzes the protection of innovation as well as its taxation. The third part of the work describes exhaustively how contracting works in general in private law, as it is fundamental for closing research, development and innovation contracts, explaining for this the right of obligations, the responsibility that arises as a consequence failure to comply with said obligations, the essential rules relating to contracts, the inefficiency of these legal transactions and, how could it be otherwise, the commercial law specialties to be taken into account if, as in many cases, the contracting of the Innovation occurs between companies. This third part is essential for the entire work, because it will be applied on a subsidiary basis for contracting in the public sector and directly for contracting innovation with Universities. In fact, the fourth part of the work pays attention precisely to public sector contracting. The last part of the work addresses the contracting of innovation between the University and the company, highlighting the role of the former in terms of knowledge transfer and explaining in detail the negotiation and the usual clauses of research, development and innovation contracts. that the Universities celebrate with the business fabric of our country.
